These Terms of Service ("Terms") govern your access to and use of ROED Forwarder, a software product operated by Barael LLC ("Barael," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms. If you are using ROED Forwarder on behalf of an organization, you represent that you have authority to bind that organization.
ROED Forwarder is a quoting automation tool for domestic LTL freight forwarders. It ingests RFQ emails, extracts shipment details using AI, applies your uploaded carrier rate cards, and produces quotes that can be sent to customers via your connected email inbox.
The service is provided "as is" during early access. We may change features, pricing, or availability with reasonable notice.
You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.
You retain ownership of all data you upload to ROED Forwarder (rate cards, RFQ records, customer email content, and quotes). By uploading data, you grant Barael LLC a limited license to process and store that data solely for the purpose of providing the service to you.
You are responsible for ensuring that your use of ROED Forwarder (including connecting an email inbox and sending quotes on behalf of your organization) complies with applicable law and your own data handling obligations to your customers.
You may not use ROED Forwarder to:
During early access, pricing is agreed upon directly between Barael LLC and each customer. Invoices are issued monthly. Payment terms are net 30 unless otherwise agreed in writing.
We reserve the right to suspend access for accounts with overdue balances after reasonable notice. Pricing changes will be communicated at least 30 days before they take effect.
ROED Forwarder uses AI (Anthropic Claude) to extract fields from RFQ emails. Extracted fields are suggestions, not guaranteed to be accurate. Dispatchers are responsible for verifying extracted fields before approving and sending a quote.
Quotes generated by ROED Forwarder are based on the rate cards and margin rules you upload. Barael LLC is not liable for pricing errors that result from incorrect, outdated, or incomplete rate card data.
We target high availability but do not provide a formal SLA during early access. Planned maintenance will be communicated in advance where possible. For support, contact hello@getroed.com.
To the maximum extent permitted by law, Barael LLC's total liability for any claim arising out of or related to the service is limited to the amount you paid for the service in the 3 months preceding the claim.
Barael LLC is not liable for indirect, incidental, special, consequential, or punitive damages (including lost revenue, lost quotes, or missed business opportunities) even if we were advised of the possibility of such damages.
Either party may terminate the service with 30 days written notice. We may terminate immediately if you materially breach these Terms and fail to cure within 10 days of written notice.
On termination, your account is deactivated. Your data is available for export for 30 days, then deleted on request. Sections on limitation of liability and data ownership survive termination.
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Disputes will be resolved in the courts of Los Angeles County, California.
We will provide at least 14 days notice before material changes to these Terms take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
